Kaio-Dia B2B Portal Terms & Conditions

1. Acceptance of Terms

By accessing and using the Kaio-Dia B2B Portal (the "Portal"), you, as a registered business, agree to be bound by these Terms and Conditions (the "Terms"). These Terms are a binding agreement between your business and Kaio-Dia SASU (the "Company").

If you do not agree to these Terms, you are not authorized to use the Portal.

1. Definitions

• "Customer" refers to any registered business on the Portal making an Order.
• "Order" refers to any purchase request made by the Customer on the Portal.
• "Product(s)" refers to the items offered for sale on the Portal.

1. Sales Terms

• The initial minimum Order is € 500 (wholesale price). The Company reserves the right to refuse any Order below this amount.
• All Products sold on the Portal are subject to a wholesale discount, the rate of which cannot be disclosed.
• Products purchased on the Portal must be sold under the Kaio-Dia brand name.
• Only faulty items can be returned and exchanged. In case of a rightful claim by end-users, the faulty Product should be returned to the distributor. The distributor is then responsible for taking pictures of the problem and sending these to info@kaio-dia.eu.
• The Company will replace faulty items at no cost.
• All valid Orders will be processed immediately and dispatched from our warehouse within 15 business days. Delivery times can vary but will not exceed 4 weeks.
• Access and Order placement on the Portal are subject to approval following our form submission process. Only registered businesses can place orders on our platform.

1. Payment Terms

• A 20% deposit is required after order review to confirm the Order.
• Payments can be made by bank transfer or by card upon request.
• Full payment is required within 10 days after the Customer has received the goods.

1. Shipping

• Orders over €800 (wholesale price) will be shipped free of charge.
• Shipping costs for Orders below €800 will be calculated based on the Order weight and the Customer's destination, after the Order has been approved.

1. Registration

• Registration on the Portal is open to all legal entities or individuals in business who have reached the age of majority and enjoy their full legal personality and capacity. Registration is free of charge

1. Changes to the Terms

• The Company reserves the right to periodically update or change these Terms without prior notice. You should review the Terms regularly as your continued use of the Portal constitutes acceptance of any updated or revised Terms.
• These Terms are governed by subject to French law. Except in cases where the law does not allow it, exclusive jurisdiction is given to the competent courts of Toulouse.
• By using the Portal, you acknowledge that you have read, understood, and agreed to be bound by these Terms.
